How to Use Pennsylvania Business Filing Services (file.dos.pa.gov) to File and Update Your Business

Pennsylvania runs nearly every business filing through one online system: Business Filing Services at file.dos.pa.gov. The system belongs to the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations, which most people call the PA DOS or the PA Bureau of Corporations. Whether you are forming an LLC or corporation, registering a fictitious name (DBA), filing an annual report, or changing your registered office, this is where the paperwork goes. This guide walks through the process from creating your login to keeping your filings current.

This article is informational, not legal or tax advice. Filing rules and fees can change, so confirm current details on the agency pages and talk with a qualified attorney or CPA about your situation.

What Business Filing Services Does and Does Not Do

The Department of State portal handles the corporate side of your business. You can use it to:

  • Form a domestic LLC or a for-profit corporation
  • File annual reports
  • File amendments to an existing entity
  • Change a registered office address
  • Register a fictitious name (DBA)
  • Order certificates and search business records

It does not handle everything else. Business Filing Services does not register sales tax, local taxes, or licenses. Pennsylvania has no state general business license and no county business licenses. Licensing depends on your industry and location, so check federal, state, county, and municipal requirements separately. The Bureau of Corporations and Charitable Organizations states that it does not issue activity licenses.

For tax accounts, including a Sales, Use and Hotel Occupancy Tax License, register through myPATH with the Pennsylvania Department of Revenue at pa.gov/services/revenue/register-my-business-for-taxes. The old PA-100 form was retired in 2022, so do not look for it.

Materials You Need Before You Start

Gather these items before you log in. Filings that stall usually stall because someone is missing one of them.

  • A business name that meets Pennsylvania rules. An LLC name must contain the term company, limited, or limited liability company, or an abbreviation of one of those terms. It cannot contain words that imply a business corporation, such as corporation or incorporated. The name must be distinguishable from names already on file with the Department of State.
  • A Pennsylvania registered office address. Pennsylvania does not use registered agents. You need a street address with a number in Pennsylvania. A post office box alone is not accepted. If you have no physical or mailing address in Pennsylvania, you may use a Commercial Registered Office Provider (CROP) under a written contract, listing the CROP name and county of venue in place of an address.
  • The names and addresses of the people forming or managing the entity, as the forms request them.
  • An email address you check daily. Confirmations and filing status messages go there.
  • A credit or debit card. Confirm the accepted payment methods at checkout.
  • The entity's file number, if the business already exists. You will find it on the business search page.
  • The docketing statement. New entities use form DSCB:15-134A, and changes use DSCB:15-134B. More on this in Step 5.
  • A federal EIN from the IRS, if you need one. The EIN is separate from the state filing, and Business Filing Services does not issue it.

Step-by-Step: Filing Through file.dos.pa.gov

  1. Create your account. Go to file.dos.pa.gov and select Create Log In. The account is free. Use the email address you will check for filing notices, because this login is the Pennsylvania Department of State login you will use for every later filing, including annual reports. Returning users sign in from the same page.
  2. Search the name before you file. Use the business search at file.dos.pa.gov/search/business. Search several variations, including the plural, the punctuation, and the abbreviation of your name. If a similar name is already registered, the rejection can come after you pay, so search first. If another business holds a name you want, that holder can sign a Consent to Appropriation of Name (DSCB:19-17.2). If you need time to finish your paperwork, you can reserve the name for 120 days for $70.
  3. Choose the correct filing type. Use the Business Filing Services menu to select the filing that matches your goal. A new LLC uses the Certificate of Organization, Domestic Limited Liability Company (DSCB:15-8821). A new corporation uses Articles of Incorporation, For Profit. An existing entity uses an annual report, an amendment, or a registered office change. A DBA uses the fictitious name registration (DSCB:54-311). Filing the wrong form delays the process and can cost you the fee, so read the form title before you start.
  4. Complete the form carefully. Enter the entity name exactly as it will appear on the public record, including whether you use LLC or L.L.C. Enter a Pennsylvania street address for the registered office. Double-check spelling, the county, and the address format before moving on, because the portal will not catch a valid address that is wrong.
  5. Handle the docketing statement. The Department of State still lists the docketing statement on its forms list: DSCB:15-134A for new entities and DSCB:15-134B for changes. Check with the Department of State whether the online filing collects this information for you or whether you need to submit the form separately. Do not assume it is handled automatically.
  6. Choose your processing speed. Standard processing is the default. If you need a same day result, select an expedited option and keep the cutoff times in mind: $100 for same day received before 10:00 a.m., $300 for 3 hour received before 2:00 p.m., or $1,000 for 1 hour received before 4:00 p.m. Each option is added to the filing fee. If you need multiple same day documents filed in a particular order, add Special Processing for $70.
  7. Pay and submit. Review the summary, confirm the total against the fee table above, and submit. Save the confirmation number and the page that shows the total you paid.
  8. Track the filing. The Bureau asks filers to allow about 15 business days for processing, and current processing times are posted at file.dos.pa.gov. DOS also reported two to four day processing for business filings through 2024, when 89% of filings were submitted online. Those figures are not the same, so plan around the longer number and check the current posted time before you depend on a date.
  9. Download and store the filed documents. Once the filing is processed, retrieve the filed copy from your account and save it in your company records. Banks, lenders, and vendors often ask for it, and the corporate minutes should hold proof of the newspaper notice for a corporation.

Updating an Existing Business

Most businesses come back to the portal more often after formation than during it. Each update is a separate filing, so treat them as a calendar item.

  1. File your annual report on time. LLC annual reports cost $7 and are due January 1 through September 30 each year. Business and nonprofit corporation annual reports are due January 1 through June 30 each year, and the fee is $7 for business corporations (nonprofit corporations pay no fee). Set calendar reminders for these windows. Annual reports are filed online at file.dos.pa.gov.
  2. Amend your filing when facts change. If your name, purpose, or other information on record changes, file an amendment through the portal. Confirm the fee for the amendment you need before submitting.
  3. Change the registered office. If you move, update the Pennsylvania registered office through a filing with the Department of State. If you switch to a CROP, make sure your contract is in place before the listing appears on the record.
  4. Register a DBA when you use a different name. A fictitious name registration costs $70 and is filed with the Department of State, not the county. Use the DBA form (DSCB:54-311) and review the Department of State fictitious names page at pa.gov fictitious names.
  5. Update tax accounts separately. A change to your business information with the Department of State does not automatically update your state tax accounts. Log in to myPATH and update those records separately.

Common Mistakes to Avoid

  • Using a post office box as the registered office. Pennsylvania requires a street address with a number. A PO box alone will be rejected or will create a record you have to correct.
  • Listing a CROP without a contract. A CROP may be listed only when you have a contract with that provider. Listing one without a contract can carry civil and criminal penalties. A CROP also cannot be used where a principal place of business is required, such as on a fictitious name registration.
  • Filing a DBA with the county. Fictitious name registrations are filed statewide with the Department of State.
  • Expecting the Department of State to register sales tax. Business Filing Services does not handle sales tax, local taxes, or licenses. Register sales tax through myPATH with the Department of Revenue.
  • Missing a cutoff for expedited service. A same day request received after 10:00 a.m. does not qualify for the $100 same day option. Submit before the cutoff for the speed you chose.
  • Using the wrong name ending. An LLC name without company, limited, limited liability company, or an accepted abbreviation will not be accepted. Also avoid words implying a business corporation in an LLC name.
  • Assuming an LLC must publish a notice. LLCs have no publication requirement. For-profit corporations must advertise their filing in two newspapers of general circulation, with proof kept in the minutes.
  • Missing the annual report window. The LLC window closes September 30 and the corporation window closes June 30. Mark both dates on your calendar when you form the business.
  • Treating processing estimates as guarantees. The 15 business day planning figure and the two to four day figure reported through 2024 describe different things. Plan for the longer time, and use expedited service only when a deadline requires it.

What to Expect After You File

If your submission is complete and accepted, you can generally expect a confirmation in your account, a processing status that updates as the Department of State reviews the filing, and a filed copy you can retrieve once the filing is complete. If the filing is rejected, the reason is usually stated in the record, and you can correct and resubmit it. Read any rejection notice closely, since fixing the wrong item wastes another fee cycle. A same day or 1 hour expedited request can shorten the wait, but the speed of your review depends on the filing and on the Department of State workload at the time you submit.

Once your filing is complete, your business name, registered office, and entity status will be visible in the public business search at file.dos.pa.gov/search/business. Check that the public record matches your filed documents. An error that appears there is one that lenders, vendors, and banks will see.

Next Steps After Your Business Is on Record

A Department of State filing does not finish the job. Use this checklist once your entity is on record:

  • Register for tax accounts through myPATH, including sales tax if you sell taxable goods or services. Confirm the 6% state sales tax rate and any local obligations with the Pennsylvania Department of Revenue at pa.gov/agencies/revenue.
  • Check federal, state, county, and local licensing requirements for your industry and location.
  • Obtain a federal EIN from the IRS if you need one for banking, payroll, or tax filings.
  • Calendar your annual report deadline for the year.
  • Get help from a Pennsylvania Small Business Development Center through pasbdc.org, or from an attorney or CPA for questions about structure, liability, or taxes.

Business Filing Services is designed to make Pennsylvania's filing process straightforward. Work through each step, keep your confirmation numbers, and confirm any figure marked for verification on the official agency page before you pay. That habit prevents most of the delays and surprises that new business owners run into.
